Standard Agreement

In consideration of the Client retaining Lionheart, LLC to design, redesign, build, and/or maintain a website, the following terms are agreed upon:

Compensation and Term: The Client retains Lionheart, LLC, and Lionheart, LLC agrees to provide services for designing, redesigning, building, and/or maintaining a website in accordance with the specifications outlined in this agreement. This agreement shall remain in effect until the specified website work is completed within the agreed-upon timeframe.

Unless otherwise agreed, the Client is solely responsible for providing all website content, including written materials, and images in the required file formats. If the Client does not provide the necessary content within 30 days from the date of this agreement (or the date specified by the Client on the proposal), a minimum weekly fee of one hour at the stated hourly rate will be charged, regardless of whether any work is performed.

Fees: The total fee for the work is outlined in the signed proposal. A non-refundable payment of 50% is due after the initial consultation and prior to the start of the project. The remaining 50% is due upon completion of the project and must be received before the website is launched or within 90 days from the date of this agreement (or the date specified by the Client on the proposal), whichever occurs first. This fee excludes costs for domain registration, hosting, premium plugins or themes, photography, or stock photography. These additional costs must be paid in advance or at the time of purchase.

Project Scope and Revisions: Lionheart, LLC agrees to complete the project within the estimated budget unless additional work or revisions are requested by the Client. Significant scope changes, multiple design drafts, repeated revisions, or time spent locating missing content will result in additional charges. Lionheart, LLC will not charge any fees beyond those specified in the proposal without first consulting the Client. If legal action is required to collect payment, the Client agrees to reimburse Lionheart, LLC for all related collection costs, including reasonable attorney’s fees.

Duration: This Agreement becomes effective on the date specified on the proposal and remains in force until all obligations have been fulfilled.

Warranties by Lionheart, LLC: Lionheart, LLC warrants that it has the experience and capability to perform the services professionally and competently. While Lionheart, LLC will strive to meet the Client’s expectations, it reserves the right to determine the procedures, formats, and use of subcontractors necessary to complete the work.

Confidentiality: Lionheart, LLC acknowledges that a confidential relationship is created through this Agreement. All information regarding the Client’s business affairs, finances, operations, software, and other proprietary details—whether written, spoken, or otherwise—is considered confidential and will not be disclosed.

Intellectual Property: All copyrights to Lionheart, LLC’s work remain the exclusive property of Lionheart, LLC. The Client may not sell, transfer, publish, or share this work without Lionheart, LLC’s prior written consent. Rights granted to the Client do not transfer ownership of the underlying work.

Additional Services: Lionheart, LLC will design, build, and, if requested, maintain the Client’s website according to the agreed specifications. Lionheart, LLC will prepare the website for search engine submission and submit it to major free search engines. However, Lionheart, LLC does not guarantee search engine rankings, as listing decisions are at the sole discretion of each search engine.

Limitation of Liability: Once the website is approved by the Client and goes live, Lionheart, LLC is not liable for any security breaches, content-related issues, data losses, or any adverse outcomes resulting from the website’s use.

On-Going Terms & Conditions (Post Launch)

Ownership and Responsibility: Once your website has gone live and all outstanding payments have been received, the Client assumes full ownership and responsibility for the website, including, without limitation, any security breaches or unauthorized access that may occur thereafter. Lionheart, LLC shall bear no responsibility or liability for any issues related to the website.

Third-Party Software Disclaimer: As the website is not custom-developed—i.e., Lionheart, LLC did not create the underlying code—the website is constructed using third-party software (including, but not limited to, WordPress Core, themes, and plugins), in conjunction with customizations to such third-party software. Lionheart, LLC disclaims any liability for the continued performance, compatibility, or functionality of the third-party software or any resulting financial losses, direct or indirect.

Licensing of Custom Plugins or Code: Any custom plugins or code provided by Lionheart, LLC are strictly licensed for use on the Client’s website only and may not be used for any other website or purpose, nor sold, transferred, or distributed to any other individual or entity.

Ongoing Support and Maintenance: Lionheart, LLC acknowledges the importance of the ongoing success of your website and, therefore, offers continued support services at a discounted rate for any future issues or modifications only at the request and discretion of the Client. As a courtesy, Lionheart, LLC may bring website issues to the attention of the Client when noticed, but shall not be obligated to provide ongoing site health monitoring or maintenance other than what is explicitly included within the hosting package.

Support Request Process: Support requests shall be addressed on a first-come, first-served basis. Support requests are billed with a minimum billing period of 15 minutes, and any services rendered will be charged in 15-minute increments, even if the time spent is less than 15 minutes. Any and all communication, including but not limited to emails, phone calls, and messages, relating to inquiries, support requests, or other questions will be considered billable time and charged accordingly. Standard requests are generally responded to within two (2) business days. Larger or more complex requests will be completed within a reasonable timeframe, subject to the nature of the request. Expedited services may be available through the Client’s use of the online support portal at Onelionheart.com/support and may incur additional charges, which shall be disclosed prior to provision of services. For emergency support, the Client is required to contact Lionheart, LLC via the designated phone line and follow the provided prompts for immediate assistance. While Lionheart, LLC will make every effort to be available, we cannot guarantee 24/7 availability.

Website Hosting Services: Ongoing website hosting services (if paid for and requested) provided by Lionheart, LLC shall be subject to the terms and conditions established by WPEngine. Website hosting services do not include general IT support or technical assistance unrelated to hosting. Any requests outside of the scope of hosting services will incur additional charges.
